AUTHORIZATION: You agree that this is an order and that you are authorized to order.

ERRORS & OMISSIONS: Wellspring Info, Inc. is not responsible for errors and omissions.

CONTENT: Any content or content suggestions provided by Wellspring Info, Inc. are provided “as is” without representation or warranty of fitness for any particular purpose. The entire risk as to the quality and performance of the content is with the client.

INDEMNIFICATION: You agree to indemnify, defend and hold Wellspring Info, Inc., its affiliates, officers, employees, shareholders, partners, and content sources harmless from and against any and all claims, liability, losses, damages, costs and expenses. You indemnify Wellspring Info, Inc. for any costs related to nonpayment.

DELIVERY AND SHIPPING: Although Wellspring Info, Inc. will make every effort to meet any deadlines, Wellspring Info, Inc. will not be liable for any costs resulting from deliveries made later than expected. Delays or damage during shipping are the sole responsibility of the shipping carrier.

INVOICING: If you don’t approve a final PDF proof within 30 days, or if we provide content consulting or content sharing, we reserve the right to invoice you in full. If you order and then decide to put your order on-hold, we will invoice you in full and then complete your order whenever you’d like. Terms are net 30.
